ARTICLE 1 – NAME OF CLUB A. The name of this organization shall be Kelab UMNO Kanada hence known as The Club. (The English translation of The Club is UMNO CLUB OF CANADA). B. The motto of The Club is MARTABAT-BANGSA-GEMILANG. ARTICLE 2 – PURPOSES The purposes of The Club are: A. To promote the Malaysian culture in Canada B. To bring Malaysian Malays and other Malays from different countries together and to help one another to foster closer ties. C. To foster intercultural exchange and to encourage development of values and ethnics among Canadians. D. To assist new Malays in adapting to life in Canada. E. To organize activities toward the betterment of Malays in Canada.F. To work with other organizations that has the same purposes and objectives. ARTICLE 3 – AFFILIATIONS This constitution over-writes the constitution set-forth by any other organizations that The Club is affiliated with. All activities, constitution and By-Laws of The Club shall be consistent with the Canadian Legislations. The Club is registered as a Not-For-Profit Organization with the Ministry of Government And Consumer Services of Ontario. The Registration Number is 1752680. ARTICLE 4 – MEMBERSHIP Section 1: Membership Requirements The Club shall be opened to all Malaysian citizens in Canada who is a Muslim Malay and at least 18 years old. Muslim Malays from other countries who are at least 18 years old and living in Canada can still be a member but will not have any voting rights. Malay is defined as a Muslim, who habitually speaks Malay language and adheres to Malay customs. Section 2: Application For Membership A. Application for membership can be submitted at anytime. B. Membership may be terminated due to improper conduct of the member as determined by the Officers of The Club. C. Officers of The Club have the rights to reject any application without providing any reasons. ARTICLE 5 – MEETINGS The regular meeting will be held based on necessity. There will be at least three general meeting. There will be an Annual General Meeting held annually. The President or the Secretary shall notify all members the time and place of the meetings, no less than one week before the date of the meeting. The President has the authority to call special meetings. ARTICLE 6 – FINANCES A. The Club officers shall manage and control the finances of the Association, especially in obtaining funding and making sure that the Association keeps within its budget. The Club shall receive some funding from Sekretariat Kelab UMNO Luar Negara in Malaysia for their activities but all the activities shall be consistent with the Canadian Legislations. B. All finance policies shall be consistent with the Canadian Legislations. All expenditures should be reviewed by the officers. An annual budget should be prepared for and approved by the members at a regular association’s annual general meeting. C. There will be a membership fee of CDN$5 collected every year by The Club. Members should pay the fees for other activities if requested by the Treasurer and upon approval of the President. D. The Auditor of The Club is Tax & Accounting (c/o Hamid Shaikh – Tel: 905-696-9800, Fax:905-696-9811) ARTICLE 7 – COMMITTEES The Club shall form whatever committees are necessary for its efficient operation. The President has the authority to name committees and committee chairperson. ARTICLE 8 – QUORUM One-third of the members of The Club constitute a quorum at any meeting or election. ARTICLE 9 - RESTRICTIONS The Club shall be non-racial, non-partisan and non-sectarian and shall wholly abstain from any political or labor affiliation or endorsement for any public office. ARTICLE 10 – AMANDMENTS A. Proposed amendments to The Club Bylaws may be submitted in writing to the Secretary by any officer or member of The Club. B. Amendments to the Bylaws shall be made at any regular or special meeting of the association by a two-thirds vote of the members present, including properly registered proxies, providing a quorum is in attendance. C. Any proposed amendments must be submitted to and approved by the officers of The Club at least 30 days in advance of any regular or special meeting. A copy of the proposed amendment shall be sent to each member at least ten days in advance of the meeting at which any amendments is to be submitted to a vote. D. The amendment (s) will become effective immediately after the voting. ARTICLE 11 – OFFICERS Section 1 – The Club Officers The officers of the The Club shall be: Chairman, Vice-Chairman, Secretary, Assistant Secretary, Treasurer, Head of Information and Committee Members. All officers of The Club must be a law abiding citizen during their term of office. Section 2 – Officer Election Officers will be elected once every two years. Newly elected officers will assume responsibilities after the election. The election ballots will be counted in public. Candidates receiving a plurality of all votes cast shall be elected. Nominations will be conducted two weeks prior to the Annual General Meeting. Nomination shall be opened to all the members. The current Club Officers will be in-charge of running the election and counting the ballots in public. Section 3– Officer Vacancies Should any officer be unwilling or unable to serve to the end of his or her elected term, then the remaining officers shall select a replacement. The selected replacement officer will serve out the balance of the term of the vacated office. The replacement officer must be selected from The Club membership. Section 5 – Duties of Officers A. CHAIRMAN: i. Call and preside all meetings of The Club. ii. Represent The Club in all matters as and when necessary. iii. Coordinate and ensure the smooth functioning of activities of The Club. iv. Co-sign all financial statements of The Club with the Treasurer. v. Coordinate and ensure good and healthy relationships between The Club and other Associations in Canada. vi. Obey and enforce the constitution and by-laws of The Club. vii. Name all special committees. B. VICE-CHAIRMAN: i. Act in the official capacity of the President and take upon all his/her duties in the absence of the President. ii. Represent The Club in the absence of the President. iii. Assist the President in all functions. C. SECRETARY: i. Report and record all minutes at all the meetings including the Annual General Meeting. ii. Notify all meetings to all members. iii. Prepare and present minutes of all meetings to the Committee members. iv. Assist the President and the Vice-President in all their duties. v. Assist in dealing with the paperwork of The Club events. D. ASSISTANT SECRETARY: i. Organize and run all activities for the benefit of the members. ii. Inform members about all activities. iii. Assist the President and Vice-President to ensure the smooth functioning of all activities. iv. Carry out responsibilities as being delegated by the President. v. Form sub-committee to ensure smooth implementation of the activities. vi. Assist the Secretary in all functions. E. TREASURER: i. Collect and disburse funds as directed by The Club officers ii. Report and present financial statements to the Committee Members during the Annual General Meeting, Regular Meetings and Special Meetings. iii. Ensure all expenditures are for The Club purpose only. iv. Maintain and co-sign all financial accounts and transactions of The Club. v. Collect all fees for The Club events/activities if there is any. F. HEAD OF INFORMATION: i. To record and report membership. ii. To schedule meeting dates. iii. To record and report the attendance of all members at the Regular Meetings, Special Meetings and Annual General Meeting. G. COMMITTEE MEMBERS (15 committee Members): Responsible for planning and assisting the Association’s activities. The Committee Members shall perform other such related duties as the President may delegate. The post of the President, Vice-President, Secretary, Assistant Secretary, Treasurer, Registrar and Committee Member are open to all members who have voting rights.
